Binary Biological Equipments manufactures and sells laboratory equipment including:

• BOD (Biological Oxygen Demand) Incubators
• Stability Chambers
• Photostability Chambers
• Vacuum Ovens
• Muffle Furnaces
• Related laboratory equipment and accessories

3. Product Orders and Sales

3.1 Order Acceptance

All orders are subject to acceptance by Binary Biological Equipments. We reserve the right to refuse or cancel any order at our discretion, including orders that appear fraudulent or violate these Terms.

3.2 Pricing and Payment

• All prices are quoted in USD and are subject to change without notice
• Payment terms are net 30 days unless otherwise specified
• Late payments may incur interest charges of 1.5% per month
• All sales are final unless covered by our warranty policy

3.3 Delivery and Risk of Loss

Delivery dates are estimates only. Risk of loss transfers to the Customer upon shipment. Customers are responsible for inspecting products upon delivery and reporting any damage within 48 hours.

4. Warranties and Disclaimers

4.1 Product Warranty

We warrant our products to be free from defects in materials and workmanship for a period of:

• 12 months for electronic components
• 24 months for mechanical components
• 60 months for structural components

4.2 Warranty Exclusions

This warranty does not cover:

• Normal wear and tear
• Damage from misuse, abuse, or negligence
• Unauthorized modifications or repairs
• Environmental damage or acts of nature
• Consumable parts and accessories

4.3 Disclaimer

EXCEPT AS EXPRESSLY SET FORTH HEREIN, ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

5. Limitation of Liability

IN NO EVENT SHALL BINARY BIOLOGICAL EQUIPMENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability for any claim shall not exceed the purchase price of the specific product giving rise to the claim.

All intellectual property rights in our products, documentation, website content, and proprietary technologies remain the exclusive property of Binary Biological Equipments. Customers receive only the right to use products as intended for their legitimate business purposes.

7. Use Restrictions

Customers agree not to:

• Reverse engineer, disassemble, or modify our products
• Use products for illegal or unauthorized purposes
• Resell products without proper authorization
• Violate any applicable laws or regulations
• Interfere with product safety features

8. Technical Support and Training

We provide technical support and training services subject to the following:

• Standard support is available during business hours
• Emergency support may be available for additional fees
• Training services require advance scheduling
• Remote support preferred; on-site visits incur travel charges

9. Compliance and Safety

Customers are responsible for:

• Ensuring proper installation and operation
• Following all safety guidelines and procedures
• Maintaining required certifications and permits
• Complying with local, state, and federal regulations
• Providing appropriate training to personnel

10. Export Controls

Our products may be subject to export control laws and regulations. Customers are responsible for obtaining any required export licenses and complying with all applicable trade restrictions.

11. Force Majeure

Neither party shall be liable for any delay or failure to perform due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government actions, or supply chain disruptions.
